Membership at TMZnap Fly© 

A Private Membership Association

By accepting these terms and conditions by Znap Fly PMA (hereafter referred to as “Znap Fly”) The Client (hereafter referred to as “CLIENT”) agree to the following:


ection 1. Real Estate

Znap Fly reserves the rights of the images to publish, print and/or use for promotional purposes. The Client grants Znap Fly and his/her successors, legal representatives and assigns the irrevocable and unrestricted right to use and alter the material for commercial, promotional, marketing, competition or other purposes without compensation and hereby release and shall hold harmless Znap Fly and his/her successors, legal representatives and assigns from all claims or liability resulting from or associated with the use of the material.

Client has the right to publish, print, copy and distribute images after receipt is paid in full. Title to all photographs and videos remain the property of the Znap Fly.

The License to Use comes into effect from the date of payment of the relevant invoice(s). No use may be made of the video and/or photographs before payment in full of the relevant invoice(s) without Znap Fly and or any of its officers express permission; this includes all social media and/or MLS postings. Any permission which may be given for prior use will automatically be revoked if full payment is not made by the due date or if the Agency is put into receivership or liquidation. Where use is restricted in the Agreement, permission to use the video and/or photographs for other purposes will normally be granted upon payment of invoice.

The Agency and Advertiser may be authorized to publish photographs to the exclusion of all other persons including the Photographer. However, the Photographer retains the right in all cases to use the photographs in any manner at any time and in any part of the world for the purposes of advertising or otherwise promoting his/her work. After the exclusivity period indicated in the License to Use the Photographer shall be entitled to use the photographs for any purposes

General Liability Release of Claims: Effective immediately upon execution, Client, for and in consideration of the payment to Znap Fly, the receipt and sufficiency of which is hereby acknowledged, do hereby release and forever discharge Znap Fly, their agents, employees, successors and assigns, and their respective heirs, personal representatives, affiliates, successors and assigns, and any and all persons, firms or corporations liable or who might be claimed to be liable, whether or not herein named, none of whom admit any liability to the undersigned, but all expressly denying liability, from any and all claims, demands, damages, actions, causes of action or suits of any kind or nature whatsoever, which I now have or may hereafter have, arising out of or in any way relating to any and all injuries and damages of any and every kind, to both person and property, and also any and all injuries and damages that may develop in the future, as a result of or in any way relating to the services provided by Znap Fly. It is understood and agreed that this payment is made and received in full and complete settlement and satisfaction the causes of action, claims and demands mentioned herein; that this Release contains the entire agreement between the parties; and that the terms of this agreement are contractual and not merely a recital. This Release may not be altered, amended or modified, except by a written document signed by both parties. Furthermore, this Release shall be binding upon the Client, and their respective heirs, executors, administrators, personal representatives, successors and assigns. This Release shall be subject to and governed by the laws of the State of California.

Indemnity: While Znap Fly takes all reasonable care in the performance of this agreement generally, Znap Fly and or any of its officers shall not be liable for any loss or damage suffered by the Client or by any third party arising from use or reproduction of any image or its caption.

The Client agrees to indemnify Znap Fly in respect of any claims or damages or any costs arising in any manner from the reproduction without proper reproduction rights of any image supplied to the Client by Znap Fly.

It is the Client who must satisfy him/herself that all necessary rights, model releases or consents which may be required for reproduction, are obtained and it is acknowledged that Znap Fly gives no warranty or undertaking that any such rights, model releases or consents have or will be obtained whether in relation to the use of names, people, trademarks, registered or copyright designs or works of art depicted in any image. In the event that the image issued or reproduced by or with the authority of the Client then the Client shall indemnify Znap Fly against any loss or damage, proceedings or costs where such rights, releases or consents have not been obtained.

There is no maximum or minimum amount of images taken during photo/video session. Images chosen to be edited are determined by Znap Fly’s artistic judgement. Images are edited at the discretion of Znap Fly. Not all Images taken will be edited

It is the Client’s responsibility to obtain permission for entry at all applicable locations and to advise the Znap Fly Team of any restrictions or policies in place at all applicable location.

Znap Fly is not liable for client/guest injuries or damages to properties that may occur during photography session. Client is not liable for injuries or damages to Znap Fly team or property during photo/video shoot.

Payment terms are strictly 72-hours from date of invoice by check made payable to “Znap Fly” or by automated wire transfer. We understand and will exercise our statutory right to claim interest and compensation for debt recovery costs under the late payment of commercial debts act if we are not paid according to agreed credit terms. A 3% processing fee will be added to any credit/debit card transaction. A late charge will be paid by the Client to Znap Fly in the amount of 10% of the original invoice owed. If any invoice issued to the Client is not paid by the Due Date, then all unpaid invoices issued to the Client become due of immediate effect, even if it is less than 30 days from the issue date, and that in Znap Fly may consider these invoices as overdue when pursuing legal action for the recovery of said debts.

Shall late and/or non-payment of invoices occur, a second time, payment will be required prior to video/photo delivery. New Clients and/or Clients without consistent client history established are required to pay the total invoice prior to the appointment date.

A fee of $120.00 may be made for each account reminder, duplicate invoice, or any other paperwork, correspondence or phone calls involved with the pursuing of a debt. This fee is non-refundable, and represents the additional time spent pursuing overdue invoices.

The photographer reserves the right to suspend ongoing services, such as (but not limited to) the Downloadable Web Page or other distribution of images, once any invoice issued to a Client becomes overdue, and also reserves the right to inform the reason of this to third parties to whom this suspension of service affects.

In the event of a Client’s death or bankruptcy or (if the Client is a company) in the event of a Resolution, Petition or Order for winding up being made against it, or if a Receiver is appointed, the photographer may at any time thereafter inspect any records, accounts and books relating to the reproduction of their images to ensure that the images are being used only in accordance with the reproduction rights granted to the Client.

Expenses: Where extra expenses or time are incurred by the Photographer as a result of alterations to the original requests by the Client/Agency or the Advertiser, or otherwise at their request, the Client/Agency shall give approval to and is responsible to pay such extra expenses and/or fees associated with additional time spent at the project in addition to the expenses shown as having been agreed or estimated.

Cancellation: A booking is considered firm as of the date of confirmation. An appointment/booking may be cancelled, however if cancelling within 24 hours of appointment time a $100.00 fee will be charged.

Standby: If property is not ready at the time of appointment a fee will be applied at $25/per 15 minutes.

Multiple visit fee: $75.00 per visit will be applied if property is not ready upon team arrival and rescheduling is required.

Travel fees may apply.

Additional production costs will be applied for revisions and edits following final video completion. $100.00 per revision will be applied.

All videos are produced to run 1 – 3 minutes in length.

Rejection: Unless a rejection fee has been agreed in advance, there is no right to reject a product on the basis of style or composition.

Right to a Credit: If the box on the estimate and the license marked `Right to a Credit’ has been ticked the Photographer’s name will be printed on or in reasonable proximity to all published reproductions of the Photograph(s). By ticking the box overleaf the Photographer also asserts his/her statutory right to be identified in the circumstances set out in Sections 77-79 of the Copyright, Designs and Patents Act 1988 or any amendment or re-enactment thereof.

Electronic Storage: Save for the purposes of production for the licensed use(s), the Photographs may not be stored in any form of electronic medium without the written permission of the Photographer. Manipulation of the image or use of only a portion of the image may only take place with the permission of the Photographer.

All links expire including but not limited to Dropbox™ and/or Virtual Tour. Files located on these websites are to be saved to your computer as links expire past 30 days.


ection 2. Environmental (Asbestos, Lead, Mold) Testing

Znap Fly provides environmental consulting services including asbestos sampling, lead-based paint testing, mold assessment, and related inspections.

Services are limited to those specifically described in the written proposal or agreement.

Any additional services requested beyond the original scope will require written authorization and may incur additional fees.

Client agrees to provide safe, unrestricted access to the property and all areas necessary to perform services.

Client is responsible for identifying known hazards, including structural instability, biohazards, electrical risks, or unsafe conditions.

Znap Fly reserves the right to suspend work if unsafe conditions are encountered.

Samples are collected in accordance with applicable industry standards and regulatory guidelines.

Laboratory analysis is performed by independent third-party accredited laboratories.

Turnaround times are estimates and may vary based on laboratory workload or unforeseen delays.

Laboratory reports reflect analytical findings for the specific samples collected at the time of inspection only.

Results are based solely on the condition and location of sampled materials and do not represent conditions in un-sampled areas.

Interpretation provided by Znap Fly is professional opinion based on current regulatory standards and industry practices.

Regulatory thresholds and guidance levels may change over time; reports are valid as of the date issued.

Znap Fly does not guarantee regulatory approval outcomes or clearance determinations beyond the scope of testing performed.

Environmental testing is limited in scope and may not identify all contaminants or hidden conditions.

Mold, asbestos, or lead conditions may exist in concealed areas not accessible during inspection.

Findings represent conditions observed on the date of service only.

Client is responsible for complying with all local, state, and federal regulations.

Znap Fly provides testing and consulting services but does not perform abatement or remediation unless separately contracted.

Final responsibility for corrective action decisions remains with the property owner or responsible party.

Payment is due according to the terms outlined in the service agreement or invoice.

Late payments may be subject to interest charges and collection costs.

Reports may be withheld until payment is received unless otherwise agreed in writing.

Cancellations within 24 hours of scheduled service may be subject to a cancellation fee.

Client is responsible for any laboratory costs incurred prior to cancellation.

Znap Fly’s liability is limited to the total fee paid for services rendered.

Znap Fly shall not be liable for consequential, incidental, or indirect damages.

Client agrees to indemnify and hold Znap Fly harmless from claims arising from site conditions outside of Znap Fly’s control.

Reports are prepared solely for the use of the client named in the agreement.

Reports may not be relied upon by third parties without written consent.

Unauthorized distribution or alteration of reports is prohibited.

Znap Fly shall not be liable for delays caused by events beyond reasonable control, including weather, natural disasters, or laboratory delays.


ection 3. UAS (Drone) Services

Znap Fly provides aerial drone photography and videography services for marketing, real estate, construction progress documentation, building inspections, and general site imaging.

Services are limited to visual data collection only unless otherwise agreed in writing.

Any services outside the agreed scope require written authorization and may incur additional fees.

All drone operations will be conducted in accordance with applicable Federal Aviation Administration (FAA) regulations.

Flights are subject to airspace authorization, temporary flight restrictions (TFRs), and other governmental limitations.

Znap Fly reserves the right to cancel or reschedule services if legal authorization to fly cannot be obtained.

Drone operations are weather-dependent.

Znap Fly is not responsible for delays, cancellations, or reduced image quality caused by wind, rain, fog, lightning, extreme temperatures, smoke, dust, or other environmental conditions.

If weather conditions are deemed unsafe or unsuitable, services may be rescheduled at the earliest available date.

Client is responsible for ensuring safe site conditions and notifying Znap Fly of hazards including power lines, cranes, restricted zones, RF interference, or other flight risks.

Znap Fly reserves the right to refuse flight if conditions present safety concerns.

Client is responsible for securing the property and notifying occupants of drone operations when required.

Drone inspections are limited to visual observations only.

Znap Fly does not perform structural engineering, roofing certification, code compliance evaluation, or safety certification.

Drone-captured imagery does not replace professional engineering, architectural, or licensed inspection reports.

Znap Fly is not a licensed land surveying firm.

Drone imagery, maps, models, or measurements are for visual reference and marketing purposes only.

Deliverables shall not be relied upon for legal boundary determination, property line disputes, engineering design, or official surveying purposes.

Any client requiring certified survey data must retain a licensed land surveyor.

Image results may be affected by shadows, glare, landscaping, parked vehicles, active construction equipment, or physical obstructions.

Znap Fly does not guarantee removal of visual obstructions unless specifically contracted for digital editing services.

Client warrants that they have authority to authorize drone operations over the property.

Client is responsible for obtaining any necessary third-party permissions.

Client assumes responsibility for privacy notifications if required by local law.

Delivery timelines are estimates and may vary depending on project scope and weather conditions.

Edited media will be delivered electronically unless otherwise agreed.

Raw footage remains property of Znap Fly unless separately purchased.

Upon full payment, client receives a non-exclusive license to use delivered imagery for agreed marketing or business purposes.

Znap Fly retains copyright ownership of all imagery unless otherwise agreed in writing.

Znap Fly reserves the right to use imagery for portfolio, marketing, or promotional purposes unless client requests confidentiality in writing.

Znap Fly is not liable for indirect, incidental, or consequential damages arising from drone operations.

Liability is limited to the total amount paid for the services performed.

Client agrees to indemnify and hold Znap Fly harmless for claims arising from unauthorized use of imagery or unauthorized flight requests.

Znap Fly shall not be liable for delays or non-performance due to events beyond reasonable control including weather, government restrictions, equipment failure beyond reasonable maintenance, or emergency airspace restrictions.


ection 4. Membership 

 

In order to obtain access to products and services from TMZnap Fly© PMA, I understand that I must join TMZnap Fly© Private Membership Association, which protects my Rights as a consumer, and their Rights as producers/providers. 

I agree to accept terms and conditions through website portal and autograph this terms of conditions (autographed members contract will be stored and secured by Znap Fly. Membership can be terminated at anytime by the Client). 

By joining TMZnap Fly© PMA, an unincorporated Private Membership Association (including any website, social media group, or the like, which is started, created, maintained, and/or organized by the Association), I agree to the Terms and Conditions of TMZnap Fly© PMA as follows:

We, as Members of this Private Membership Association, declare that our objective is to provide the Private Membership Association Founders, and all Members, with a platform in which to conduct all manner of Private Business, Education, Products, Services, or Assistance with the Association, with other Associations, and Association Members - keeping all Business in the Private Domain and utilizing the protections guaranteed by The Magna Carta Libertatum of 1215, The Charter of the Forest of 1217, Articles of Confederation of 1781, Republic Constitution of 1787, Universal Declaration of Human Rights (UDHR), The Constitutions of the Republic States, the Canadian Charter of Rights, and by Law.

We believe that the Creator, and natures God, bestowed upon us un-a-lien-able Rights and Liberties, which includes ones basic Right to be self-managed.

Utilizing the protections guaranteed by the aforesaid Constitutions and Assertion of Rights, our Members are guaranteed the Rights of absolute Freedom of Religion, Free Speech, Petition, Assembly, and the Right to Gather together for the Lawful purpose of helping one another in asserting our Rights protected by those Constitutions, in addition to the Rights to be Free from unreasonable search and seizure, the Right to not incriminate ourselves, and the Right to Freely exercise all other Unalienable Rights as granted to us by our Creator, our Almighty God.

We hereby declare that we are exercising our Right of “Freedom of Association” with the protections guaranteed by the aforesaid Constitutions and the Articles of Association, which means our Association activities are restricted to the Private domain only, and outside of the Jurisdiction of government entities, agencies, officers, agents, contractors, and/or any other representatives as provided by LAW.

We declare the basic Right of all our Members to decide for themselves which Association Member(s) could be expected to give wise counsel and advise concerning all matters (including, but not limited to: physical, spiritual, mental, and/or emotional health care assistance, LAW, and/or any other matter) and to accept from those Members any and all counsel, advice, and/or tips in which we feel are able to properly advise and assist us, while also using full discernment before taking any action of said advice.

We expect the Freedom to choose and perform for ourselves the types of imagery, consulting and services for achieving and maintaining our own optimum business practice.

We also expect the Freedom to choose for ourselves any types of assistance which may be made regarding any other Private business activity.

The mission of this Association is to provide Members with a platform to conduct business between Members in the Private domain, with the protections guaranteed by the aforesaid Constitutions and Articles of Association.

The Association will recognize any people, natural or otherwise, irrespective of race, color, or religion, who have joined this Association (including any website, social media group, or the like, which is started, created, maintained, and/or organized by the Association), and is in agreement with these Terms and Conditions as a Member of this Association - providing said person has not been sanctioned, exercised, or otherwise banned by the Association, and will provide a medium through which its individual Members may associate for actuating and bringing to fruition the purposes declared. 

Membership to this Private Membership Association, “TMZnap Fly©” (including any website, social media group, or the like, which is started, created, maintained, and/or organized by the Association), may be terminated by the Association Director(s), at anytime, should they conclude that a specific Member is interacting with them or any other Member in a way that is contrary and detrimental to the focus, principles, and betterment of this Association and its Members.

I understand and comprehend that, because this unincorporated Private Membership Association is protected by the First (1st) and Ninth (9th) Amendments of the U.S. Constitution, it is outside of the Jurisdiction and authority of Federal and State Agencies and Authorities concerning any and all complaints or grievances against “TMZnap Fly© PMA”, its Members, or its Director(s).

I also understand and comprehend that all Rights of complaints or grievances will be settled by an Association designee, committee, or tribunal.

By agreeing to this Membership form, I agree that I have sought sufficient education to determine that this is the course of action that I want to take for myself.

I agree to join TMZnap Fly© PMA, an unincorporated Private Membership Association under Common Law, whose Members seek to help each other achieve better business practices.

I am voluntarily changing my capacity from that of a public person, to that of a Private Member. 

My activities within the Association are a Private contractual matter, in which I refuse to share with the Local, State, or Federal investigative or enforcement agencies.

I fully agree not to pursue any course of legal action against a fellow Member or Director of the Association.

Unless that Member has exposed me to a clear and present danger of substantive evil, and upon the recommendation and approval of the Association Board of Directors.

I enter into this agreement of my own free will, without any pressure or coercion. 

I affirm that I do not represent any Local, State, or Federal agency whose purpose is to regulate and approve products or services, or to carry out any mission of enforcement, entrapment, or investigation.

I have fully read and understood this document, and my questions have been answered fully to my satisfaction. 

I understand and comprehend that I can withdraw from this agreement and terminate my Membership in this Association anytime. 

I understand and comprehend that my Membership can and will be revoked if I engage in any abusive, violent, menacing, destructive, harassing, or evil behavior towards any other Member or Director of the Association.

I do hereby apply for Membership at TMZnap Fly© PMA, an unincorporated Private Membership Association, hereafter termed TMZnap Fly© PMA.

With the signing of this Membership Agreement, I accept the offer made to become a Member of TMZnap Fly© PMA, and I have fully read and comprehend and agree with the following Declaration of Purpose, Membership Rights, Preamble, and Memorandum of Understanding.

The Private Membership Association will assist in building strong local communities that are well grounded in love, family values, sharing, and respect for other people and what is God given lawful.

The intent and purpose of the PMA is to lawfully be able to Privately provide all Members of the PMA with all available information in regard to TMZnap Fly© PMA products and services, procedures and training programs, project opportunities, and any other topic or subject that we feel will benefit Members of the PMA.

The health and wellbeing of our Members is of utmost importance, and it is the PMA’s intent to act in regard to benefit the health and wellbeing of all Members who request the products, services, advice, knowledge, and benefits available to all Members to assist in life, liberty, and pursuit of happiness, as is our God given and Constitutionally protected Rights as living women and men.

Therefore, the formation of the offices of Directors does not incorporate the Association; TMZnap Fly© PMA must always remain unincorporated.

TMZnap Fly© PMA Directors and Members can freely share, discuss, and exchange information and services by Members of the Association, while keeping all business within the Private domain.

By consenting to the Membership Agreement provided, Members are granted the following Rights and benefits:

Detailed informed consent about services rendered, and what to expect.

Complaints against a TMZnap Fly© Member must be submitted in writing to the TMZnap Fly© Board of Trustees within three (3) months of the incident of complaint. These will be sent to the Person, Committee, or Tribunal designated by TMZnap Fly© for evaluation and remediation action.

Guarantee that all personal information of the Member will remain within TMZnap Fly© PMA.

Membership with TMZnap Fly© PMA will remain intact, unless the Member submits, in writing, their desire to withdraw Membership – or unless Membership is terminated by the Association in accordance with Bylaws.

Members in TMZnap Fly© PMA choose to operate pursuant to The Magna Carta Libertatum of 1215, The Charter of the Forest of 1217, Articles of Confederation of 1781, Republic Constitution of 1787, Universal Declaration of Human Rights (UDHR), The Constitutions of the Republic States, the Canadian Charter of Rights, and by Law.

With the protections guaranteed by the aforesaid Constitutions, our Members are guaranteed the Rights of Free Speech, Petition, Assembly, and to gather for the Lawful purpose of advising and helping one another in asserting our Rights under LAW. 

It is hereby declared that we are exercising our Right of “Freedom of Association” as guaranteed by the First (1st) and Nineth (9th) Amendments of the U.S. Constitution and equivalent provisions of the various State Constitutions.

This means that our Association activities are restricted to the Private domain only.

We proclaim the Freedom to choose for ourselves the type of education, products, and services we use.

We encourage our Members to perform their own research. 

Specifically, the Mission of TMZnap Fly© PMA is “to be in the world, but not of the world - to act in accordance with Nature and Nature's God, the Creator, and serve as stewards with the Dominion over all Earthly things as commanded by our Creator.”

TMZnap Fly© PMA will recognize any people, natural or otherwise, irrespective of race, color, or religion, who has been approved as a Member, and who act in accordance with these Terms and Conditions - providing said person has not been sanctioned, exercised, or otherwise banned by the Association, and will provide a medium through which its individual Members may associate for actuating and bringing to fruition the purposes declared.
